Terms of Service

The terms that apply when you use Roohy.

Last Updated: November 2, 2026

Who we are and what these Terms cover

These Terms of Service, together with our Privacy Policy, Subscription Policy and Money-Back Guarantee (together, the “Terms”), set out the conditions on which you may access and use Roohy and the services we make available through it. References in these Terms to “Roohy”, “we”, “us” and “our” are references to Lerulya Limited (the “Company”). The Terms form a binding legal agreement between you and us.

Arbitration notice

SECTION 12 OF THESE TERMS CONTAINS A BINDING ARBITRATION AGREEMENT, A JURY TRIAL WAIVER AND A CLASS ACTION WAIVER.

UNLESS THESE TERMS PROVIDE OTHERWISE, YOU KNOWINGLY AND VOLUNTARILY AGREE THAT ALL DISPUTES BETWEEN YOU AND ROOHY WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION AND THAT, EXCEPT AS EXPRESSLY PERMITTED IN THESE TERMS, YOU WAIVE THE RIGHT TO BRING IN COURT ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS. YOU ALSO KNOWINGLY AND VOLUNTARILY WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. YOU CONFIRM THAT YOU ACCEPT THESE TERMS OF YOUR OWN FREE WILL AND WITHOUT RELYING ON ANY PROMISE OR REPRESENTATION NOT SET OUT IN THEM.

If you are a consumer resident in the European Economic Area or the United Kingdom, Section 12 does not apply to you, and any dispute between you and the Company is resolved as described in Section 14.

Before you subscribe: how renewal works

Access to the Service is provided through subscriptions that renew automatically. Please read these Terms carefully, and in particular Section 6, before starting a trial or completing a purchase of an auto-renewing subscription.

To avoid being charged, you must cancel your subscription before the end of your trial or current billing cycle. By purchasing an automatically renewing subscription you acknowledge and agree to its recurring nature, as explained near the point of purchase. If you do not cancel in time, your subscription renews automatically and the applicable charges are applied.

Cancellation is done in your account settings on the Website or in the App, or by writing to our support team; the steps are set out in Section 6 and in our Subscription Policy. Deleting the app does not cancel your subscription or trial, so please follow the cancellation steps if you intend to cancel. You may also wish to take a screenshot of this notice for future reference.

Refund eligibility and conditions are explained in our Money-Back Guarantee. Our privacy practices are described in detail in our Privacy Policy, which we encourage you to review in order to understand how we collect, use and share your personal information.

1. Agreeing to these Terms

The Terms set out the relationship between you and the Company, as identified in the Introduction above, in everything connected with your use of the Company’s mobile applications, websites, devices and related services (the “App” or the “Service”), together with all the information, text, graphics, software and services you are given access to through them (the “Content”).

Accessing or using any part of the Service confirms that you have read these Terms, that you have understood them and that you agree to be bound by them, which creates a legally binding agreement between you and the Company. Should you not agree to them, you must stop using the Service straight away, delete your account and cancel any subscription that is still running.

What the Service is

With Roohy you get short daily practices built around habits, everyday stress and a steadier sense of balance. They are designed to turn into routines that stay with you and support your well-being over time, at whatever pace suits you and wherever you happen to be.

Everything we offer is educational and informational in nature. None of it amounts to medical, psychological, mental health or other professional advice, and nothing available through the Service is intended to diagnose, treat, cure or prevent any health condition or disease. Where you have a health concern of any kind, or an existing medical condition, please speak to a qualified licensed healthcare professional before you begin any wellness program or practice.

Our other policies

Our Privacy Policy is an integral part of these Terms and sets out how we collect, use and protect your personal data. Our Subscription Policy explains how subscriptions, renewals and cancellations work, and our Money-Back Guarantee explains when and how a refund may be obtained; both likewise form part of these Terms. From time to time we may also publish further policies, supplemental terms or notices within the Service; any such terms are incorporated here by reference and govern your use of the Service.

When we change these Terms

So far as applicable law allows, we may amend, supplement or withdraw parts of these Terms at our discretion. That may happen when we launch or discontinue features, technologies or services, when we need to meet legal, regulatory or contractual requirements, or in exceptional or unforeseen circumstances. Where the law requires it, we will notify you of the change.

An update is marked by a change to the “Last Updated” date, and, unless we state otherwise, an updated version takes effect as soon as it is published within the Service. Reviewing the Terms from time to time is the best way to stay informed of any change. Continuing to use the Service once an update has taken effect means that you accept the amended Terms. Should you not accept them, you must stop using the Service straight away, delete your account and cancel your subscription.

When we change the Service

We may equally update, alter, suspend or discontinue the Service, or any part, content or feature of it, at any time, without notice and without liability to you or to anyone else. That may be done, for instance, in order to offer or test new or different features, technologies or services, to repair, improve or further develop the Service, to meet legal, regulatory or contractual requirements, or in exceptional or unforeseen circumstances. Certain services and features may not be available in every country, in every language or on every operating system.

The language that prevails

These Terms were drafted in English, and any translation of them is supplied for convenience only. In the event of a discrepancy between the English text of these Terms and a text translated into another language, the English text prevails.

2. Opening and keeping an account

Setting up your account

Access to certain features of the Service may require you to register an account (“Account”) and to supply accurate and complete information during registration.

What you promise us

By creating an Account you represent and warrant that: (1) the information you provide is truthful, accurate and up to date; (2) you will update your Account information as needed to keep it accurate; and (3) your use of the Service complies with all applicable laws, regulations and these Terms.

Where accurate information is not supplied or not kept up to date, the Service may not work as intended and we may be unable to inform you of important updates.

You have to be 18

The Service is intended for users aged 18 and over. Opening an Account confirms that you are at least 18 years old and that you have the legal authority to enter into and comply with these Terms. Persons under 18 are not permitted to use the Service.

When we may suspend or close it

We may suspend or terminate your Account if you violate these Terms or applicable law, provide false or misleading information, or engage in fraudulent, abusive or unauthorised activity. Termination may result in loss of access to your account data or benefits. To the extent permitted by law, we are not responsible for consequences resulting from account termination.

Keeping your login safe

You are responsible for maintaining the confidentiality of your Account credentials, including login details and passwords, and for all activity conducted under your Account. You may not sell, rent, lease, share or provide access to your Account to anyone else, including by charging anyone for access to your Account. The Company reserves all available legal rights and remedies to prevent unauthorised use of the Service, including technological barriers, IP mapping and, in serious cases, directly contacting your Internet Service Provider (ISP) regarding such unauthorised use. If you suspect unauthorised access or a security breach, you must notify us immediately at support@roohy.com.

We are not liable for any loss, unauthorised transaction or damage that results from access to your Account caused by your failure to protect your credentials. Using secure passwords and taking the precautions needed to prevent unauthorised access is your responsibility.

One account each

Only one Account per person may be registered with the Service, and creating several accounts for the same individual is prohibited. We reserve the right to terminate any duplicate account at our sole discretion, without prior notice and without liability to you.

Death or incapacity

In the event of your death or legal incapacity, your Account will not be transferred to any third party. Upon receiving verified documentation of your death or incapacity, such as a death certificate or a court order, we reserve the right to terminate your Account and cancel any active subscription. In such cases we will process refund requests in accordance with applicable consumer protection laws and the Money-Back Guarantee. If you wish to notify us of such circumstances, please contact us at support@roohy.com.

3. Using the Service

The licence we give you

You are granted a limited, non-exclusive, non-transferable and revocable licence to access and use the Service for personal, non-commercial purposes. The licence lets you install and use the App on your personal mobile device; it does not permit sublicensing, resale, modification or unauthorised use. A breach of these Terms may lead to the immediate suspension or termination of your access to the Service.

What you need to run it

To use the App you need a smartphone running at least the following operating system version: iOS 16.0 or Android 10.0. When you access the Website, please also make sure that you are running the latest version of your web browser, as that helps prevent security problems and allows every feature of the Website to work for you.

Changes and availability

The Company may modify, suspend or discontinue any aspect of the Service at any time without liability. Certain features may not be available in every region or on every device. Where a modification affects your use of the Service, you may cancel your subscription or delete your account.

Getting help from us

Need help? Write to us at support@roohy.com and we will do our best to come back to you as quickly as we can.

4. Content, rights and conduct

Who owns what

The Service, together with its software, content, logos, trade marks and all associated materials, remains the exclusive property of the Company or of its licensors. Accessing or using the Service gives you no ownership of any intellectual property right beyond what these Terms state expressly. You may not copy, modify, distribute, sell or reverse-engineer any portion of the Service unless expressly permitted.

Content you upload or share

The Service may allow you to submit, upload or share text, images, messages, feedback and other materials (“User Content”). By submitting User Content you grant the Company a royalty-free, perpetual, worldwide licence to use, reproduce, modify, adapt, publish, distribute and create derivative works from your content for purposes including improving, operating and promoting the Service. This licence does not cover your personal data, which is handled in accordance with our Privacy Policy.

You retain ownership of any User Content you submit, subject to the licence granted to the Company. By submitting User Content you represent and warrant that you own or have all necessary rights and permissions to grant that licence. You confirm that your content does not infringe any third-party intellectual property, privacy or contractual rights, and that any third-party rights in the User Content, including moral rights, have been lawfully waived or granted to you. The Company and its successors may use the User Content without compensating you.

Once submitted, User Content may remain accessible even after you have removed it. To revoke the licence granted for particular User Content, write to support@roohy.com; any prior use of that content is unaffected. The Company is not responsible for storing or maintaining copies of removed User Content and is not liable for any loss caused by its removal.

Our review of user content

The Company does not actively monitor User Content but reserves the right to review, edit, remove or restrict it at its discretion. That applies in particular to content that is offensive, illegal, defamatory or misleading, that violates third-party intellectual property, privacy or contractual rights, that promotes harm, violence, harassment or illegal activity, or that disrupts the functionality, security or reputation of the Service. The Company assumes no liability for the accuracy or legality of User Content submitted by others.

Reviews you leave about us

By submitting, posting or otherwise providing any review, rating, comment, testimonial or other feedback (“Review”) about the Service on any platform, including the Apple App Store, the Google Play Store and other mobile application marketplaces, websites and social media platforms, or directly to the Company, you grant the Company and its affiliates a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable and transferable right to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, publicly display and create derivative works from such Reviews for any lawful purpose, including marketing, advertising, promotional activities, product development and customer engagement, in any media now known or later developed, without further notice, attribution or compensation to you.

You acknowledge and agree that:

  • the Company is not obligated to use, display or maintain any Review and may remove or edit Reviews at its discretion;
  • the Company may use Reviews in conjunction with your publicly displayed username, profile picture or other identifying information, if available, unless you request anonymity in writing;
  • the Company is not responsible for the content of Reviews posted by users and does not endorse any opinions expressed in them.

If you wish to request the removal of a Review that you have submitted, you may contact the Company at support@roohy.com.

Reporting an infringement

If you believe that any content available through the Service infringes your intellectual property rights, please notify us at support@roohy.com. with the following information:

  • a description of the intellectual property right you claim has been infringed;
  • a description of the content that you claim is infringing and its location within the Service;
  • your contact information, including name, address, telephone number and email address;
  • a statement by you that you have a good faith belief that the disputed use is not authorised by the intellectual property owner, its agent or the law;
  • a statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the intellectual property owner or authorised to act on their behalf.

We reserve the right to remove or disable access to content alleged to infringe third-party intellectual property rights. Repeated infringement of such rights may lead to the termination of a user’s Account.

Conduct we do not allow

You agree not to use the Service to distribute illegal, deceptive or harmful content, to impersonate another individual or misrepresent your affiliation, to reverse-engineer, extract or manipulate any part of the Service, or to interfere with the security, availability or integrity of the Service. Violation of these Terms may result in the immediate suspension or termination of your account, as well as legal consequences.

Risks you take on

You use the Service at your own risk. The Company does not guarantee the accuracy, the reliability or the fitness of any content provided. We are not responsible for loss of data, device malfunction or technical failure, for any reliance you place on fitness, nutrition or wellness recommendations within the Service, or for personal injury, financial loss or any legal claim arising from your use of the Service.

5. Anything that comes from third parties

The Service may integrate, provide access to or display content from third-party services, websites, software, advertisements and other materials (“Third-Party Services” and “Third-Party Materials”). This includes external links, embedded content and user-generated materials contributed by third parties. While these features may be accessible through the Service, the Company does not control or assume responsibility for the content, functionality or policies of any Third-Party Services.

We do not vouch for third parties

By using the Service you acknowledge that the Company does not endorse, verify or assume responsibility for the accuracy, legality, quality or reliability of any Third-Party Services or Third-Party Materials. Some of this content may be objectionable, offensive or misleading, and the Company is not liable for any exposure to such material. The Service may also include advertisements, sponsored content or links to third-party websites that are not owned or controlled by the Company; clicking on a third-party link or engaging with an external service does not establish any endorsement, affiliation or sponsorship between the Company and the third party. Any interaction, transaction or agreement you engage in with a third party through the Service is solely between you and that third party, and the Company bears no responsibility for any dispute, loss or issue that may arise from it.

The Company does not monitor, evaluate or guarantee the accuracy, completeness or legality of Third-Party Materials. To the fullest extent permitted by law, the Company makes no express or implied warranties regarding third-party content and disclaims all liability for any loss, damage or harm resulting from your reliance on or use of such content, as well as for how third parties collect, process or use your data. Some third-party materials may be outdated, misleading or otherwise unreliable, and you assume full responsibility for any decision based on them.

The risk is yours

Accessing Third-Party Services through the Service is entirely voluntary. You assume all risks associated with interacting with third-party content, including potential malware, phishing scams or deceptive practices. It is your responsibility to review and comply with the terms, policies and privacy practices of third-party services before using them. The Company is not responsible for any technical issue, dispute or damage arising from your engagement with Third-Party Services, and by using such services you waive any claim against the Company related to your interactions with third-party content, advertisements or external links.

If you encounter harmful, misleading or offensive third-party content while using the Service, you may report it to the Company. However, the Company is not obligated to investigate, remove or take action against third-party content unless required by law.

6. Subscriptions, payment and refunds

What a subscription covers

The Service offers subscription-based access to its features and content, which is purchased directly from the Company through the Website. Where we make a subscription available for purchase through the Apple App Store or Google Play (each a “Platform Store”), that purchase is processed by the relevant store under its own terms and policies.

You acknowledge that it is your responsibility to ensure that you have only one active subscription at a time.

Payment processing

The Service may be sold to you by our authorised merchant of record, reseller or agent.

Our authorized agents and/or resellers include: Renoria Limited. Where your purchase is processed by such an entity, its name may appear on your bank or card statement, and the term “Company” is to be read, for the purposes of these Terms and solely for payment processing purposes, as including that merchant of record, reseller or agent.

Payments are handled by third-party payment processors, which you authorise to charge your selected payment method. These processors handle transaction processing and notify us of successful payments.

Where a subscription is purchased through an Platform Store, the store or the entity it designates collects the price, charges the payment method registered in your store account and issues the receipt; we do not receive your payment details.

Completing a purchase

Upon completing the onboarding process on the Website or in the App, you are presented with the available subscription options, their pricing and durations, and the accepted payment methods (for example Mastercard, Visa, PayPal, Apple Pay, Google Pay). By selecting a subscription and authorising the payment, you instruct the applicable payment processor to charge your selected payment method. Once the payment is validated, you receive access to the Service.

How renewal works

All subscriptions renew automatically unless cancelled. The renewal period matches the initial subscription term unless otherwise disclosed at the time of purchase. To avoid renewal, you must cancel your subscription before the renewal date.

By proceeding with a subscription you acknowledge that charges are applied periodically based on the billing cycle you selected. The renewal rate will be no more than the rate for the immediately prior subscription period, excluding any promotional (introductory) and discount pricing, unless we notify you of a rate change before your auto-renewal.

Where a subscription was purchased through the Apple App Store, Apple may require you to cancel at least 24 hours before the end of the current period. Where it was purchased through Google Play, cancellation takes effect provided it is completed before the next payment is taken.

Cancelling, step by step

To cancel your subscription on the Website or in the App:

  • Log in to your account on the Website or open the App.
  • Go to “Profile”, then to “Settings” in your account.
  • Open “Manage Subscription”.
  • Select “Cancel subscription”.
  • Confirm the cancellation (“Confirm Cancel”).

Additional screens. Before your cancellation is completed you may see additional screens, for example an offer to switch to a different plan. You are free to skip them and finish cancelling as you intended.

Cancellation may also be completed by contacting us at support@roohy.com. Deleting the App does not cancel your subscription.

Cancellation stops future renewals. Your access to the Service continues until the end of your trial or of the subscription period you have already paid for, and ends after that.

Where a subscription was purchased through an Platform Store, it is cancelled in the subscription settings of your Apple ID or Google Play account.

Putting your subscription on hold

We may, at our discretion, allow you to pause your subscription instead of cancelling it. Where a pause is available to you, its length and conditions are shown to you at the time, your billing is suspended for the agreed period and your subscription resumes automatically at the end of it unless you cancel before then. We are under no obligation to offer this option and we do not guarantee that it will be available.

Add-ons and other extras

In addition to your subscription, you may have the option to purchase add-on items such as premium content or supplementary features. These add-ons may be one-time purchases or recurring charges. Cancelling your main subscription will also cancel any associated recurring add-ons, but cancelling an add-on alone does not affect your primary subscription.

Getting your money back

Generally, refunds are available if the conditions of our Money-Back Guarantee are met or if a refund is required by applicable mandatory law. In other cases payments are non-refundable. This does not limit any refund, withdrawal or other remedy to which you are entitled under mandatory law, including the right of withdrawal described below.

Where a subscription was purchased through the Apple App Store, refund requests are handled by Apple under its own policy, and you can submit a request following the instructions on the Apple Support pages. Where it was purchased through Google Play, refunds are subject to Google’s policies and you may request one from Google directly; you are also welcome to contact us at support@roohy.com and we will assist you as far as we are able to.

The 14-day right of withdrawal (EEA and UK)

If you are a consumer resident in the European Economic Area or the UK, you have the legal right to withdraw from a contract for the purchase of digital services within 14 days of the day on which the contract is concluded, without providing any reason and without incurring any additional costs. If you have received access to a free trial, the withdrawal period expires 14 days from the start of your free trial, rather than from the date of payment.

Each separate purchase, including any add-on, is a separate contract with its own withdrawal period.

To exercise your right of withdrawal, you must notify us by email at support@roohy.com stating your decision to withdraw from the contract. While you may use the model withdrawal form provided below, it is not mandatory. Your withdrawal request is considered valid if sent before the 14-day withdrawal period expires.

If you exercise your right of withdrawal, we will refund all payments received from you without undue delay and in any event no later than 14 days from the date we receive your withdrawal notice. Refunds are processed using the same payment method used for the original transaction, unless you have expressly agreed otherwise. You will not incur any fees as a result of the reimbursement.

If you have expressly requested that we begin the immediate supply of the Service before the expiration of the withdrawal period, have acknowledged that you will lose your right to withdraw once the Service has been supplied in full, and we have provided you with confirmation of that consent and acknowledgment on a durable medium, you will not be eligible for a refund for any digital content that has already been delivered. In the case of digital services, where those conditions are met and the Service has been supplied only in part by the time you withdraw, we may retain an amount in proportion to what has been supplied to you up to that point, calculated on the basis of the total price agreed. Where those conditions are not met, the full amount is refunded to you.

Form you can use to withdraw

Consumers in the United States

If you reside in California, you have the right to cancel your purchase at any time before midnight of the fifth business day following the date of the purchase. If you exercise this right, we will issue a full refund of the amount paid.

To request a refund under this policy, you must notify us of your cancellation by contacting support@roohy.com before the cancellation deadline. Refunds are processed using the same payment method used for the original transaction, and no additional fees are incurred for the reimbursement.

If the laws of your state of residence grant you additional rights in connection with automatically renewing subscriptions, we will comply with those requirements.

Consumers in Brazil and Colombia

If you live in Brazil

If you are a customer located in Brazil, you have the right to cancel your purchase within seven (7) calendar days from the date you enter into the contract. To exercise this right, please contact us by email at support@roohy.com within that 7-day period. We may ask you to provide your order details or other information necessary to verify and process your cancellation.

If you live in Colombia

Right of withdrawal (derecho de retracto). If you are a consumer located in Colombia, you may withdraw from your purchase within five (5) business days from the date the contract is concluded, without giving any reason, in accordance with Article 47 of Law 1480 of 2011. To exercise this right, please write to us at support@roohy.com within that period. We will refund the full amount paid to the original payment method no later than thirty (30) calendar days from the date you exercise the right.

Payment reversal (reversión del pago). If you paid by credit card, debit card or another electronic payment method and you were a victim of fraud, the payment was not requested or authorised by you, you were charged more than once, the Service was not provided to you, or the Service does not correspond to what you ordered, you may request a reversal of the payment in accordance with Article 51 of Law 1480 of 2011. To do so, please submit your claim to us at support@roohy.com and notify the issuer of your payment instrument within five (5) business days from the date you became aware of the issue. We may ask for information necessary to process your request.

Chargebacks: talk to us first

If you wish to request a refund for a payment made using a reimbursable method, such as a credit or debit card, we strongly encourage you to contact us first at support@roohy.com before initiating a chargeback with your payment provider. This gives us the opportunity to review your request and attempt to resolve the issue directly. If a chargeback or dispute has already been initiated with your bank or payment provider, we may be unable to process a refund while the case is under review. The dispute resolution process typically takes 15 to 30 days, depending on your bank or payment provider. Once the case is closed and the status is updated in our system, we will be able to review your refund request.

Refunds, when applicable, are not processed in real time. If we confirm that a refund has been issued, please allow at least 15 business days for it to appear in your account. You acknowledge that you are not entitled to receive multiple refunds for the same transaction and agree that, if you request a refund directly from us, you will not initiate a separate refund request or chargeback through your payment provider unless your request has been denied by us. If you receive duplicate refunds due to separate refund requests, we reserve the right to work with your payment provider to reverse one of them.

If you initiate a chargeback or reverse a payment, we may suspend or terminate your access to the Service. If a chargeback is resolved in our favour, you may contact support@roohy.com to discuss reinstating your account.

As outlined in our Privacy Policy, your personally identifiable information may be shared with our payment processor to assist in responding to chargeback requests.

Fraudulent or improper chargebacks may result in a permanent ban from the Service and potential legal action.

Trials, discounts and special offers

We may offer free trials providing temporary access to the Service. The trial duration and terms are displayed at sign-up. Where a trial is offered at a reduced price rather than free of charge, its price and the subscription fee that will apply after it ends are also displayed before you start it; that fee may be higher than the trial price and may be charged for a different billing period than the trial. If you do not cancel before the trial ends, your subscription automatically converts into a paid subscription and the applicable fee is charged.

We recommend keeping track of your trial period and cancelling before it ends if you do not wish to continue. The Company reserves the right to modify, revoke or restrict trial eligibility at any time.

We may also from time to time offer discounted offers that automatically renew at the full price without a discount after the end of the discount period. However, we are under no obligation to offer such trials or offers and do not guarantee their availability.

We may, in our sole discretion, apply promotional pricing, discounts, coupons or other reductions to the subscription fee for any user or billing period. Such reductions may be individualised, time-limited and subject to additional terms, do not oblige us to offer the same to you or to others and, unless expressly stated otherwise, do not apply retroactively and do not result in refunds of prior charges.

Gift cards and promo codes

We may provide you with gift cards or promotional codes that can be redeemed for additional features, enhancements, functionalities, content or services within a specified Service and for a limited period of time, subject to eligibility requirements (the “Promotional Codes”). Promotional Codes have no cash value, are personal, non-transferable and non-sublicensable, and we are under no obligation to provide any compensation in connection with a Promotional Code.

If the price changes

To the maximum extent permitted by applicable law, we may modify subscription fees at any time. If notification is required under applicable law, we will inform you of pricing changes in the manner and within the timeframe mandated by the regulations. Where no specific timeframe is prescribed, we will provide at least 14 days’ notice by posting the updated prices in the App, sending an email notification or using other prominent communication methods. The revised pricing takes effect as specified in the notice.

If you do not agree to the updated fees, you may cancel your subscription before the new pricing takes effect. If you do not cancel before then, the updated fees apply to your next renewal.

When a payment does not go through

If a payment is declined or not received when due, we may notify you to update your payment method. We, or our payment processor, may also retry the charge. However, if the issue is not resolved, we reserve the right to suspend or terminate your access to the Service without further notice. Any content, data or personalised settings associated with your account may be lost as a result.

This does not limit our right under Section 2 to suspend or close an Account where these Terms or applicable law have been breached.

8. No warranties: what we do not guarantee

The Service comes “as is”

Except to the extent prohibited by law or otherwise inapplicable, you expressly acknowledge and agree that your use of the Service is at your own risk. The Service and any products or content provided through it are made available “as is” and “as available”, without any warranties or guarantees of any kind, express or implied.

To the fullest extent permitted by law, the Company and its affiliates, officers, employees, agents, partners and licensors expressly disclaim all warranties, whether express, implied or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and reliability of content or data.

In particular, we do not warrant that: (1) the Service will meet your expectations or requirements; (2) the Service will be uninterrupted, secure, error-free or free from technical issues; (3) the results obtained from using the Service will be accurate, reliable or error-free; (4) the quality of any content, features or services will meet your expectations; (5) any defects or errors will be corrected promptly or at all.

Any material, data or information obtained through the Service is accessed at your own discretion and risk. You are solely responsible for any damage to your device or loss of data resulting from your use of the Service.

We do not guarantee or promise any specific results from using the Service. By using the Service, you accept the inherent risks of service interruptions, technical failures and potential data loss.

Not medical or professional advice

Any information or statements available through the Service are for informational and educational purposes only. They are not intended to replace or substitute for professional financial, medical, legal or other specialised advice.

The Company does not represent or warrant that any information provided through the Service is reliable, complete or suitable for your specific needs. You acknowledge that any decisions made on the basis of information provided through the Service are your sole responsibility and that, if you require professional advice, you should consult a qualified specialist.

To the maximum extent permitted by law, the Company expressly disclaims any liability for your reliance on any statements, recommendations or content provided through the Service.

We do not guarantee accuracy

The Company does not assume any liability for inaccuracies, errors or omissions in any content, information or materials available through the Service. You are encouraged to independently verify any information provided through the Service before relying on it. The quality, accuracy and completeness of content are not guaranteed and may change without notice.

Results differ from person to person

We make no guarantees concerning the level of success you may experience from using the Service, and you accept the risk that results will differ for each individual. Any testimonials, success stories or examples that may be provided through the Service represent exceptional results that do not apply to the average user and are not intended to represent or guarantee that any user will achieve the same or similar results. Past results described on the Service are not necessarily indicative of future outcomes. The Company cannot guarantee your future results and expressly disclaims any liability for success or failure directly or indirectly related to your use of the Service.

Personalised content

The Service may offer personalised recommendations, plans or content based on information you provide during registration or onboarding. While we make reasonable efforts to tailor the Service to your individual needs, we make no guarantee that such personalised content is designed uniquely for you or that it is based on all information you have provided. Personalised recommendations are not intended to replace professional advice and should be used at your own discretion.

Changes to the Service

We reserve the right to update, modify or discontinue any aspect of the Service, including its features, content and availability, at any time, with or without notice. This includes changes to: (a) the information provided on our website and in our mobile applications; (b) the availability or functionality of any Service feature; (c) the pricing, structure or terms of use of the Service.

We are not responsible for any loss or inconvenience resulting from a modification, suspension or discontinuation of any part of the Service.

Rights you cannot sign away

Nothing in these Terms excludes or limits any consumer rights that cannot be waived under applicable law. If you are entitled to statutory rights under the laws of your country of residence, those rights remain unaffected by these disclaimers.

9. Limits on our liability

To the maximum extent permitted by law, we (including our affiliates, officers, employees, agents, partners and licensors) shall not be liable to you or any third party for any indirect, incidental, consequential, exemplary, special or punitive damages, including but not limited to lost profits, lost data, business interruption or any other losses arising from your use of or inability to use the Service, products or any third-party ads, even if we have been advised of the possibility of such damages.

Your access to and use of the Service (including the App, Content and User Content) and third-party ads are at your own risk. You agree that you are solely responsible for any damage to your device, loss of data or other harm that results from your use of the Service.

The cap on our liability

Notwithstanding anything to the contrary herein, our total liability to you for any claims arising out of or related to your use of the Service, products or content shall be limited to the total amount paid by you to us for access to the Service during the twelve (12) months immediately preceding the event giving rise to the claim or, if greater, one hundred euro (€100).

These limitations of liability form a fundamental basis of the agreement between you and the Company. Without these limitations, we would not be able to offer the Service under the same terms.

Unknown claims (California residents)

If you are a resident of California, you expressly waive California Civil Code section 1542, which states:

“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

By accepting these Terms, you recognise and agree that you may be waiving rights with respect to claims that are currently unknown or unsuspected.

Where these limits do not apply

Some jurisdictions do not allow certain limitations or exclusions of liability, including for incidental or consequential damages. To the extent that any part of these limitations is found to be unenforceable under applicable law, the remaining limitations shall still apply to the maximum extent permitted.

If any remedy set forth in these Terms is found to have failed its essential purpose, all remaining limitations of liability shall still apply. Additional consumer rights may apply depending on your jurisdiction.

10. Indemnification: claims you cover

Claims you cover

You agree to defend, indemnify and hold harmless the Company, along with its affiliates, parent companies, officers, employees, agents, partners, licensors, contractors, successors and assigns (each an “Indemnitee”), from and against any losses, damages, liabilities, claims, demands, judgments, settlements, penalties, fines, costs and expenses of any kind, including but not limited to reasonable attorneys’ fees and professional fees, arising directly or indirectly from: (I) User Content, including any claim that such content infringes third-party rights or violates applicable laws; (II) your breach of these Terms, whether by you or by anyone using your account or device; (III) your access to or use of the Service, including any action taken on the platform; (IV) your violation of any applicable law, regulation or third-party rights, including intellectual property, privacy or proprietary rights; (V) any claim related to property damage, personal injury, bodily harm or death resulting from your use of the Service in violation of these Terms.

Running the defence

The Company may, at its option, assume control of the defence of any claim for which you are required to indemnify us. You agree to cooperate reasonably with our defence efforts. You may not settle any claim that imposes liability or obligations on the Company without our prior written consent.

11. Where the Service may be used

The Service is built to be accessible worldwide, but we cannot guarantee that it is lawfully available in every jurisdiction. Where you access it from a place in which doing so is prohibited by local law, you access it on your own initiative and are responsible for compliance with the local law that applies to you.

You represent and warrant that you are not located in, and are not a national or resident of, any country or territory that is subject to comprehensive sanctions or trade restrictions imposed by the United States, the European Union, the United Nations or any other applicable governmental authority, including but not limited to Cuba, Iran, North Korea, Syria and the Crimea, Donetsk and Luhansk regions of Ukraine. You further represent that you are not listed on any sanctions list or registry of prohibited or restricted persons maintained by such authorities, including the U.S. Office of Foreign Assets Control (OFAC), the EU consolidated list or the UN Security Council Consolidated List.

We may restrict or terminate access to the Service for any user located in or connected with a restricted territory, or named on an applicable sanctions list, at our sole discretion and without prior notice. You acknowledge that compliance with the sanctions laws that apply to you is your sole responsibility.

12. Dispute resolution and arbitration agreement

This Section contains an agreement to arbitrate (the “Arbitration Agreement”). Please read it closely: for the matters it covers, both you and the Company give up the right to go to court and the right to take part in a class action. It does not apply to consumers resident in the European Economic Area or the United Kingdom, whose disputes are resolved as described in Section 14.

What this agreement covers

YOU AND THE COMPANY AGREE THAT ANY DISPUTE, CONTROVERSY OR CLAIM (A “DISPUTE”) ARISING OUT OF OR RELATING TO (1) THESE TERMS, INCLUDING WHETHER THEY EXIST, ARE VALID OR HAVE ENDED, (2) ANY PART OF THE RELATIONSHIP BETWEEN YOU AND THE COMPANY, (3) YOUR PURCHASE(S) FROM THE COMPANY, (4) ANY COMMUNICATION BETWEEN YOU AND THE COMPANY, WHETHER DIRECT OR THROUGH A THIRD PARTY, OR (5) YOUR VISITS TO THE WEBSITE, WILL BE FINALLY RESOLVED BY BINDING ARBITRATION BEFORE A NEUTRAL ARBITRATOR, WHETHER THE DISPUTE IS BASED IN CONTRACT, TORT, STATUTE OR ANY OTHER LEGAL THEORY. EACH OF US WAIVES THE RIGHT TO SUE IN COURT AND THE RIGHT TO A JURY TRIAL, WITH TWO EXCEPTIONS: (A) YOU MAY TAKE A QUALIFYING CLAIM TO SMALL CLAIMS COURT; AND (B) EITHER OF US MAY ASK A COURT FOR EQUITABLE RELIEF AGAINST INFRINGEMENT OR OTHER MISUSE OF INTELLECTUAL PROPERTY RIGHTS, SUCH AS TRADE MARKS, TRADE DRESS, DOMAIN NAMES, TRADE SECRETS OR PATENTS. ARBITRATION WILL PROCEED ON AN INDIVIDUAL BASIS, ALTHOUGH IT MAY BE CONSOLIDATED WITH OTHER ARBITRATIONS UNDER THE RULES REFERRED TO BELOW. CLASS ACTIONS AND CLASS ARBITRATIONS ARE NOT ALLOWED, AND YOU GIVE UP THE ABILITY TO TAKE PART IN EITHER. NOTWITHSTANDING THE FOREGOING, NOTHING IN THESE TERMS PREVENTS YOU FROM BRINGING ANY MATTER TO THE ATTENTION OF A FEDERAL, STATE OR LOCAL AGENCY.

Talking it through first

Before starting arbitration, you agree to write to us at support@roohy.com and try to resolve the Dispute informally. If the Dispute is not resolved within sixty (60) days, whether informally or through negotiation, you and the Company will resolve it by final and binding arbitration under this Arbitration Agreement instead of in court, except where this Arbitration Agreement provides otherwise.

Who runs the arbitration

If you are a resident of the United States, the arbitration will be administered by Judicial Arbitration and Mediation Services, Inc. (“JAMS”), and, unless this Arbitration Agreement provides otherwise:

If you are not a resident of the United States, the arbitration will be administered by the London Court of International Arbitration (“LCIA”) under the LCIA Arbitration Rules in force when the notice of arbitration is submitted (“LCIA Rules”), as modified by this Arbitration Agreement, the seat of the arbitration will be London and the language of the arbitration will be English. The LCIA Rules are available at www.lcia.org.

If the applicable administrator is unavailable to arbitrate, the parties will agree on another arbitral forum.

How hearings are held

Hearings will be held by telephone or video conference, unless the arbitrator decides, at the request of either party, that an in-person hearing is appropriate. Any in-person hearing will take place at a location reasonably convenient for both parties, taking into account their ability to travel and other relevant circumstances, and in accordance with applicable law. If the parties cannot agree on the location, it will be decided by the applicable rule-making authority or by the arbitrator.

What the arbitrator may decide

The arbitrator has exclusive authority to: (a) decide the scope and enforceability of this Arbitration Agreement; (b) resolve any dispute about its interpretation, applicability, enforceability or formation, including any assertion that all or part of it is void or voidable; and (c) decide every Dispute within its scope. The arbitrator may grant motions disposing of all or part of any claim, and may award on an individual basis any relief that a judge in a court of law could award, including temporary, interim or permanent injunctive relief (public injunctive relief included) and specific performance of these Terms. The award will be in writing, together with a statement of decision setting out the essential findings and conclusions on which it is based and, where damages are awarded, how they were calculated. The award is final and binding on you and on the Company and may be confirmed and enforced in any court with jurisdiction.

No judge and no jury

YOU AND THE COMPANY EACH WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO GO TO COURT AND HAVE A DISPUTE DECIDED BY A JUDGE OR A JURY, EXCEPT AS THIS ARBITRATION AGREEMENT OTHERWISE PROVIDES. RIGHTS THAT WOULD BE AVAILABLE IN COURT, SUCH AS THE RIGHT TO APPEAL, MAY BE MORE LIMITED IN ARBITRATION OR MAY NOT EXIST AT ALL.

One claim at a time

YOU AND THE COMPANY WILL RESOLVE ALL DISPUTES ON AN INDIVIDUAL BASIS ONLY. Neither of us may bring a claim as a plaintiff or as a class member in a class action or class arbitration. Notwithstanding this and anything else in this Arbitration Agreement, individual arbitrations may be consolidated under the applicable rules, and the JAMS Mass Arbitration Procedures and Guidelines apply to all qualifying arbitrations. Nothing in this Arbitration Agreement, including this subsection, is intended to limit the relief available to you in small claims court, and nothing in this subsection limits the ability of you or the Company to resolve a Dispute by mutual agreement through a class-wide settlement, whether by mediation or otherwise.

The law that governs this agreement

If you are a resident of the United States, this Arbitration Agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16, and, to the extent not governed by it, by the law set out in Section 13(a). If you are not a resident of the United States, this Arbitration Agreement is governed by the laws of England and Wales, and the arbitrator will decide the Dispute under the law set out in Section 13(c).

If part of it fails

If any provision of this Arbitration Agreement is found to be invalid or unenforceable, that provision is severed and has no effect, and the rest of this Arbitration Agreement and of the Terms remains fully in force. This Arbitration Agreement continues to apply after your relationship with the Company ends.

Saying no within 30 days

You may choose not to be bound by the arbitration and class action waiver provisions of this Arbitration Agreement by emailing written notice of your decision to support@roohy.com within thirty (30) days after you accept the Terms. If you do not send this notice in time, you will be bound to arbitrate Disputes under this Arbitration Agreement. If you opt out in time, the Company will not be bound by these provisions either. All other provisions of the Terms continue to apply if you opt out.

13. Which law applies to these Terms and where claims are heard

(a) United States. If you are a resident of the United States, the Federal Arbitration Act governs the Arbitration Agreement in Section 12, and these Terms are otherwise governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. If you are a California consumer, the laws of the State of California apply instead.

(b) EEA and UK. If you are a consumer resident in the EEA or the UK, Section 14 applies.

(c) Everywhere else. In all other cases these Terms are governed by the laws of the Republic of Cyprus, excluding its conflict-of-law rules, except that the Arbitration Agreement in Section 12 is governed as stated there. Any dispute that is not submitted to arbitration under Section 12 is subject to the exclusive jurisdiction of the courts of Cyprus.

Your use of the Service may also be subject to other local, state, national or international laws.

14. Consumers in the EEA and the UK

Nothing in these Terms deprives you of the consumer protection rights granted by the mandatory laws of your country of residence.

Complaints and ADR

If you have a complaint, please contact us at support@roohy.com. If you feel that your complaint is not adequately addressed, you may, but are not obliged to, submit it to an alternative dispute resolution (ADR) body in your country. You can find a list of EU-approved ADR bodies here. Other than as set out in these Terms or required by law, the Company does not participate in any alternative dispute resolution scheme.

Your courts, and the law that applies

You may bring proceedings in the courts of your country of habitual residence or in the courts of Cyprus, and we will bring any proceedings against you only in the courts of your country of habitual residence. These Terms are governed by the laws of the Republic of Cyprus or, if you are resident in the UK, the laws of England and Wales. Either way, you keep the protection of the mandatory consumer laws of your country of residence, which this choice of law cannot take away.

15. Notice to California residents

If you are a California resident, in accordance with Cal. Civ. Code § 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

16. Everything else

The one-year deadline for claims

You agree that, regardless of any statute or law to the contrary or any applicable dispute resolution process, any claim or cause of action arising from or related to the use of the Service or these Terms must be filed within one (1) year from the date the claim or cause of action first arose. Failure to do so will result in your claim being permanently barred.

The provisions of this subsection, titled “Limitation on claims period”, constitute a separate legally binding agreement between you and the Company.

This subsection does not apply to residents of the EEA or the United Kingdom to the extent it conflicts with mandatory local limitation periods.

Waiver and severability

No failure or delay by the Company in exercising any of its rights under these Terms is to be deemed a waiver of those rights, nor does any partial exercise of rights prevent their further enforcement or the enforcement of any other rights under these Terms. A waiver of any provision does not constitute a waiver of any subsequent breach or default.

If any provision of these Terms is found to be invalid, illegal or unenforceable, the remainder of these Terms remains in full force and effect. The invalid or unenforceable provision is to be modified or replaced to the extent necessary to make it valid and enforceable while maintaining the intent of the parties to the fullest extent permitted by law.

The whole agreement, and what outlives it

These Terms constitute the entire agreement between you and the Company regarding their subject matter and supersede all prior agreements, understandings and representations, whether written or oral.

All provisions of these Terms which by their nature should survive termination, including but not limited to provisions relating to ownership and intellectual property, disclaimers of warranties, limitations of liability, indemnification and dispute resolution, survive termination.

Transfers and the providers we use

The Company may assign or transfer its rights and obligations under these Terms to any other entity, including through merger, acquisition, corporate restructuring or novation. By continuing to use the Service, you consent to any such transfer or assignment, and you agree that posting on the Service of a version of these Terms indicating another person as a party constitutes valid notification. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.

The Company uses third-party providers to facilitate various operational and technical functions, including but not limited to payment processing, customer support, security enhancements and data management. By using the Service, you acknowledge and agree that these third-party service providers may assist in delivering the Service and enhancing its functionality.

Events beyond our control

The Company is not liable for any failure or delay in performing its obligations under these Terms where such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to force majeure events, legal or regulatory changes, cyberattacks or unforeseen operational disruptions.

Everything happens electronically

All communications between you and the Company, including notices, disclosures and agreements, are conducted electronically. You acknowledge that electronic communications, including emails, platform notifications and digital agreements, hold the same legal weight as written documents and constitute a legally binding contract. By clicking buttons labelled “CONTINUE”, “BUY WITH GOOGLE PAY”, “BUY WITH APPLE PAY”, “I ACCEPT”, “I AGREE”, “BUY”, “PAY”, “ADD TO YOUR PLAN” or similar links or buttons, you affirm your intent to be legally bound by these Terms and acknowledge that your electronic submission constitutes a valid electronic signature.

Calls and text messages

By entering your telephone number on our Service, you expressly agree to receive communications at that number as required for the purposes identified above from us, our agents, representatives, affiliates or business partners, via email, SMS or text messages, phone calls and push notifications. You further expressly agree that these communications, including phone calls, SMS or text messages, may be generated using automated technology, such as an automatic telephone dialling system, or artificial or prerecorded voice, and even if your telephone number is listed on any Do-Not-Call list.

Communications from us, including from our agents, representatives, affiliates or business partners, may include but are not limited to operational communications concerning your account or use of the Service, including account verification and message notifications, updates concerning new and existing features of the Service, marketing information and promotions run by us, our agents, representatives, affiliates or business partners, any news concerning the Service and any other purposes related to it or required to enforce these Terms. By accepting these Terms, you agree to receive special offers, promotional materials and other communications.

We will use your mobile number in accordance with our Privacy Policy. You represent that, for the telephone number you have provided to us, you are the current subscriber or customary user and that you have the authority to provide the consent described above to be contacted at that number. You agree to alert us promptly whenever you stop using a particular telephone number. Standard charges may apply to the receipt of these calls or text messages, and you are responsible for those charges.

Where we ask for your consent to receive marketing communications, that consent is given separately and is not a condition of purchasing or using the Service. You can opt out of marketing communications at any time by contacting us at support@roohy.com. We will continue to send you transactional messages relating to your account and your subscription, such as payment receipts and renewal notices, which are necessary to provide the Service.

We may monitor or record telephone conversations that we have with you or with anyone acting on your behalf, whether you call us or we call you. We will use the results of monitoring and recording in accordance with our Privacy Policy.

If there is any conflict between (a) the Google Play Terms of Service and the Google Play Business and Program Policies, or other terms Google designates as default end-user licence terms for Google Play (“Google Play Terms”), and (b) these Terms, then the Google Play Terms govern with respect to your use of the Service downloaded from Google Play.

You acknowledge that Google is not responsible or liable for compliance or non-compliance with these Terms or the Google Play Terms, whether by you, by the Company or by any other user.
